Free to download and adapt. No sign-up. The spreadsheets use ordinary formulas, data validation and conditional formatting; there are no macros. Each workbook opens on a 'How to use' sheet, with input cells in yellow and formula cells in grey.

SME IPO readiness tracker

For: CFOs, company secretaries and founders preparing for BSE SME or NSE Emerge, 6 to 12 months before the DRHP.

  • 51 readiness tasks in seven workstreams: corporate, board and KMP, capital and demat, financials and restatement, tax / GST / TDS / FEMA / MSME clean-up, legal and assets, issue structure
  • Owner, due date (counted back from your target DRHP date), status dropdown, automatic red / amber / green and a dependency column that shows what is holding a task up
  • Eligibility sheet: three years of restated figures tested for operating profit (₹1 crore in 2 of 3 years), net worth, net tangible assets, debt / equity, post-issue capital, and FCFE on the NSE formula (CFO − capex + equity raised + net borrowings − interest × (1 − t)), with pass / fail
  • Dashboard counting progress by workstream

MSME 45-day payment, interest and MSME-1 working

For: Accounts payable teams, auditors and CFOs of companies buying from micro and small enterprises.

  • Vendor master with Udyam category and activity; works out whether s.15 applies (Micro and Small, not traders)
  • Invoice register: due date = acceptance + MIN(agreed days, 45), or 15 days with no written agreement; days overdue to any date; s.16 compound interest at three times the RBI Bank Rate with monthly rests
  • Year-end s.37(2)(g) [43B(h)] add-back flag and amount for each invoice
  • MSME-1 half-yearly extract per supplier in the revised-form columns (paid within / after 45 days, outstanding up to / beyond 45 days, reason for delay) with the filing due date
  • s.22 note for the financial statements, built from the register

TDS monthly working, tax year 2026-27

For: Finance teams deducting TDS under the Income-tax Act 2025 for the first time.

  • Old 1961 section → s.392 / s.393 payment code map (1002, 1009, 1024, 1027 and about 35 more), with codes we could not confirm marked 'verify'
  • Rate and threshold lookup; deductee type read from the PAN; 20% (5% for 194Q / 194-O) where PAN is missing
  • Interest at 1% a month for late deduction and 1.5% a month for late deposit, counted in calendar months the TRACES way
  • Challan summary by payment code for any month, with deposit due date
  • Quarterly checklist for Form 138 [24Q], Form 140 [26Q] and Form 144 [27Q], with due dates and the ₹200-a-day late fee

Board and shareholder resolution formats for an SME IPO

For: Company secretaries and promoters taking a private company to an SME listing.

  • Conversion to public company (s.14 special resolution and board resolution); increase in authorised capital (s.61)
  • Appointment of independent director, woman director, MD / WTD, CFO and company secretary (KMP)
  • Constitution of audit committee, NRC and stakeholders' relationship committee; s.180(1)(c) borrowing limit
  • Approval of the IPO and authority to file the DRHP with BSE SME / NSE Emerge (s.23, s.62(1)(c)); appointment of lead manager, RTA, market maker
  • Adoption of new articles; compliance officer under LODR Reg 6; approval of restated financial information
  • A filing map (MGT-14, SH-7, DIR-12, INC-27) and an explanatory-statement skeleton

LODR and insider-trading policy pack for SME-listed companies

For: Company secretaries and compliance officers of SME-listed (or about-to-list) companies.

  • Policy for determining materiality of events (Reg 30), with the lowest-of 2% turnover / 2% net worth / 5% of average absolute PAT test and a worksheet line for your threshold
  • Preservation of documents and archival (Reg 9, Reg 30(8))
  • Related party transactions policy, with the size test (₹10 crore paid-up or ₹25 crore net worth) that brings Reg 23 to SME-listed entities from 1 April 2025
  • Code of fair disclosure of UPSI (PIT Reg 8) and code of conduct for designated persons (PIT Reg 9: trading window, pre-clearance, contra trade, structured digital database)
  • Vigil mechanism (s.177(9)) and a nomination and remuneration policy outline (s.178)

Before you use them

These templates are working aids, not legal, tax or investment advice, and I am not a chartered accountant or company secretary. Rules are as on 6 October 2026. Exchange criteria, SEBI regulations, payment codes and rates change: check the current position on the exchange, SEBI, MCA and income-tax portals, and have resolutions and policies adapted by your company secretary and counsel before use.

Points I could not confirm from a primary source are marked verify inside the files: some s.393 payment codes (194IA, 194IB, 194M, 1001), the new form numbers for challan-cum-statements and Forms 15G / 15H, BSE SME's current thresholds, the SME monitoring-agency threshold and the SME materiality limit for related party transactions.
